Welcome to OFFSTAGE (“we,” “us,” “our”). These Terms of Use (“Terms”) govern your use of our website, services, and platform (collectively, the “Platform”), which allows artists to sell products and services directly to fans.

By using the Platform, you agree to these Terms. If you don’t agree, please do not use the Platform.

1. Eligibility

You must be at least 18 years old to use OFFSTAGE independently. If you are under 18, you may use the Platform only with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms.

2. Your Account

You are responsible for maintaining the security of your account and any activity under your login credentials. If you believe your account has been compromised, contact us immediately.

3. Artists and Vendors

Artists and vendors on OFFSTAGE (“Sellers”) may offer physical products, digital products, or services for sale through their storefronts. Sellers are solely responsible for:

  • The accuracy and legality of their offers and listings.

  • Fulfilling their orders as described, and on time.

  • Communicating clearly with customers and resolving any issues.

  • Complying with applicable laws and regulations.

We reserve the right to remove any content or products that violate these Terms or our policies.

4. Payments and Fees

  • OFFSTAGE charges Sellers a commission on all sales.

  • Buyers pay a service fee per transaction.

  • Additional fees may apply for fulfillment or processing physical products.

All transactions are processed via third-party payment providers. We do not store payment card details.

5. Payouts to Sellers

OFFSTAGE aims to provide prompt payouts to Sellers after each sale. However:

  • Payments may be subject to delays for fraud prevention, security reviews, or legal compliance.

  • We do not routinely hold funds for extended periods, but we reserve the right to do so if needed to protect buyers, Sellers, or the platform.

By using OFFSTAGE, Sellers agree:

  • To promptly deliver all goods and services as described in their listings.

  • That if a customer disputes a transaction, requests a refund, or initiates a chargeback, OFFSTAGE may:

    • Issue a refund directly to the customer.

    • Deduct refunded amounts from the Seller’s future payouts.

    • Require the Seller to repay funds already disbursed if necessary.

Sellers are responsible for any chargebacks or refunds related to their sales, and agree to cooperate with OFFSTAGE in resolving disputes.

6. Refunds and Disputes

Refund policies are determined by individual Sellers unless stated otherwise. If you have an issue with a purchase, contact the Seller first. If unresolved, you may contact OFFSTAGE for assistance.

We reserve the right to intervene in disputes and issue refunds at our discretion.

7. Prohibited Items and Activities

Sellers may not offer or sell:

  • Illegal products or services.

  • Drugs, controlled substances, alcohol, tobacco, firearms, or weapons.

  • Adult content, pornographic material, or sexually explicit services.

  • Stolen property or counterfeit goods.

  • Anything that infringes on intellectual property rights.

  • Services involving violence, threats, or harassment.

We may remove or suspend any content or accounts at our sole discretion.

8. User Content

You grant OFFSTAGE a worldwide, non-exclusive, royalty-free license to use, reproduce, and display any content you upload or post on the Platform, solely for the purpose of operating and promoting the Platform.

9. Intellectual Property

All content on OFFSTAGE, excluding user-uploaded content, is owned by us or our licensors. You may not copy, modify, or distribute our content without permission.

10. Limitation of Liability

OFFSTAGE provides the Platform “as is” without warranties of any kind. To the maximum extent permitted by law, OFFSTAGE is not liable for any damages arising from your use of the Platform, including lost profits, data loss, or business interruption.

11. Indemnity

You agree to indemnify and hold harmless OFFSTAGE, its officers, employees, and agents from any claims, liabilities, or expenses arising out of your use of the Platform or violation of these Terms.

12. Termination

We may suspend or terminate your access to OFFSTAGE at any time for any reason, including violation of these Terms.

13. Changes to Terms

We may update these Terms from time to time. We’ll notify you of significant changes, and your continued use of the Platform means you accept the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Washington without regard to conflict-of-law principles.
